Membership terms.

Effective May 2026

These terms govern your application for and use of Valois membership. Valois is operated by Yorkseed Inc. By submitting an application or accessing the member portal, you agree to these terms.

1. Membership

Valois membership is granted at the sole discretion of Yorkseed. Submission of an application does not create any right to membership. We may accept or decline any application without providing reasons.

Membership is personal and non-transferable. You may not share your login credentials or grant another person access to your account.

2. Fees

Valois membership requires payment of an annual fee. Membership terms, including the applicable fee, are communicated to applicants following the admission process. Fees are non-refundable except where required by applicable law.

Failure to pay the annual fee when due will result in suspension and, if unresolved, termination of membership.

3. Conduct

Valois operates on the basis of trust and discretion. Members agree to:

(a) Treat all information shared within the Circle — including member identities, event content, deal opportunities, and introductions — as confidential unless explicitly stated otherwise.

(b) Not solicit other members for commercial purposes without prior approval.

(c) Not share login credentials, member directory information, or Circle communications outside the membership.

(d) Conduct themselves in a manner consistent with the standards of the Circle at all Valois events and in all Valois-facilitated introductions.

Breach of these obligations may result in immediate termination of membership without refund.

4. Introductions and deal flow

Valois facilitates introductions and curates deal flow as a service to members. We are not a registered investment adviser, broker-dealer, or financial intermediary. Nothing communicated within Valois constitutes investment advice. Members are solely responsible for their own investment decisions.

Valois makes no representations as to the accuracy, completeness, or suitability of any deal information shared within the Circle. Due diligence is the member's own responsibility.

5. Events

Valois events are private and invitation-only. Admission to an event is confirmed separately for each occasion. Membership does not guarantee admission to any specific event. Events operate under Chatham House rules unless otherwise stated.

6. Termination

You may terminate your membership at any time by contacting us at membership@thevalois.com. Termination does not entitle you to a refund of any fees paid.

Yorkseed may terminate or suspend membership at any time, with or without cause, and with or without notice. In the event of termination for cause (breach of these terms), no refund will be issued.

7. Limitation of liability

To the fullest extent permitted by law, Yorkseed's liability to any member is limited to the annual membership fee paid in the 12 months preceding the claim. Yorkseed is not liable for any indirect, consequential, or incidental losses arising from membership or use of the Valois platform.

8. Governing law

These terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in the courts of New York County, New York.

9. Changes

Yorkseed may update these terms at any time. Material changes will be communicated to members by email. Continued use of the Valois portal after notice constitutes acceptance of the updated terms.
